1. Introduction and Acceptance

These Terms of Use (“Terms”) form a legally binding agreement between you (“User”, “you”) and Clapnation Events L.L.C - S.P.C, a company registered in Abu Dhabi, United Arab Emirates (“Clapnation”, “we”, “our”, or “us”).

These Terms govern:

Access to the Clapnation Systems website (clapnationsystems.co)
Purchase and use of all Clapnation Systems products
Use of any associated materials, frameworks, and methodologies

By accessing, purchasing, downloading, or using any Clapnation Systems product, you confirm that:

You have read and understood these Terms
You agree to be bound by them in full

2. Definition of Clapnation Systems

Clapnation Systems is not content.

It is a proprietary intellectual system, including:

Structured methodologies
Operational frameworks
Behavioral systems
Strategic models
Conceptual architectures
Language systems, naming conventions, and logic structures

This includes all Playbooks, Toolkits, and Systems provided through the platform.

For the purpose of these Terms, “Product” includes:

The content itself
The structure of the content
The logic behind the content
The way the system is constructed and applied

3. Nature of Delivery

All products are delivered as:

Digital downloads
Secure online access

Delivery is considered complete when:

Access is granted; or
A download is made available

No physical product is provided.

4. Eligibility

You must:

5. Payment and Transaction Terms

Payments are securely processed via third-party providers, including Stripe.

Clapnation does not store full payment details.

You agree:

Not to initiate unjustified chargebacks
To contact Clapnation first to resolve any payment-related issue

Any abusive or fraudulent chargeback may result in:

Immediate termination of access
Legal recovery of funds
Additional damages and enforcement costs

6. No Refund Policy

All sales are final.

Due to the nature of digital intellectual property and immediate access:

No refunds, returns, or cancellations are permitted

By completing a purchase, you explicitly waive any right to a refund.

7. Intellectual Property Ownership (Core Clause)

All Clapnation Systems materials are the exclusive intellectual property of Clapnation Events L.L.C - S.P.C.

This includes, without limitation:

All Playbooks, Toolkits, and Systems
All frameworks, models, and methodologies
All structures, sequences, and system logic
All written, visual, and conceptual materials
All naming conventions, terminology, and system architecture

This protection applies to both:

The visible content
The underlying system and logic

No ownership rights are transferred under any circumstances.

8. License Grant (Strict, Individual, Non-Transferable)

Upon purchase, you are granted:

A limited, revocable, non-exclusive, non-transferable, non-sublicensable license
strictly for individual use only

This license:

Applies to one person only
Cannot be shared, transferred, or extended
Does not permit use by teams, companies, or third parties

9. Permitted Use (Strictly Defined)

You may:

Access and use the product for your own personal understanding
Apply the concepts privately within your own thinking or individual work

You may NOT extend this use beyond yourself in any form.

10. Prohibited Use (Expanded — No Interpretation Gaps)

You may NOT, directly or indirectly:

10.1 Distribution & Access

Share, forward, or distribute the product (in full or in part)
Provide access to any other individual
Upload content to shared drives, cloud storage, or internal systems
Make the product available in any multi-user environment

10.2 Internal and Team Use

Use the product within a company, team, or organization
Train, educate, or brief others using the content
Integrate the product into internal SOPs, systems, or training programs

10.3 Commercial Use

Use the product in client work, consulting, or advisory services
Apply the content in any revenue-generating activity involving third parties
Use the material to support external delivery of services

10.4 Transformation & Repackaging

Copy, reproduce, or duplicate the material
Summarize, translate, or adapt the content for others
Extract frameworks, models, or structures for reuse
Rebuild or recreate the system in any form

10.5 System Extraction (Critical Clause)

Use the product to learn, extract, and recreate Clapnation Systems logic
Apply the underlying system design beyond personal use
Build competing or derivative systems based on Clapnation methodology

11. Anti-Circumvention

You may not attempt to bypass these Terms by:

Rewriting or rewording content
Teaching concepts without sharing the original material
Structuring similar frameworks based on Clapnation Systems
Using knowledge gained to replicate or redistribute the system

Any attempt to replicate the system, directly or indirectly, constitutes a breach.

12. Corporate and Multi-User Licensing

A single purchase grants rights to one individual only.

It does NOT grant rights for:

Company-wide use
Team access
Internal training programs
Multi-user environments

13. Monitoring, Detection, and Audit Rights

Clapnation reserves the right to:

Monitor usage patterns and access behavior
Track downloads and distribution activity
Investigate suspected misuse or infringement

You agree to cooperate with any investigation.

14. Enforcement and Legal Remedies

You acknowledge that:

Unauthorized use causes irreparable harm to Clapnation

Clapnation is entitled to:

Immediate injunctive relief
Financial damages
Recovery of legal and enforcement costs

If you become aware of misuse or unauthorized distribution, you may report it to:

15. Disclaimer of Warranties

All products are provided “as is”.

Clapnation makes no guarantees regarding:

Business outcomes
Performance improvements
Financial results

Use is at your own risk.

16. Limitation of Liability

To the maximum extent permitted by law:

Clapnation shall not be liable for:

Indirect or consequential damages
Loss of business, revenue, or opportunity

Total liability shall not exceed the amount paid.

17. Termination and Survival

Clapnation may terminate access immediately upon breach.

Upon termination:

All rights are revoked
Access is removed

Usage Restrictions
Enforcement Rights
Liability Provisions

18. Force Majeure

Clapnation is not liable for delays or failures caused by events beyond reasonable control.

19. Assignment

You may not transfer your rights.

Clapnation may assign its rights without restriction.

20. Severability

If any provision is found unenforceable, the remaining Terms remain in full effect.

21. No Waiver

Failure to enforce any provision does not constitute a waiver of rights.

22. Entire Agreement

These Terms represent the complete agreement between you and Clapnation.

23. Governing Law and Jurisdiction

These Terms are governed by the laws of the United Arab Emirates.

All disputes fall under the exclusive jurisdiction of the courts of Abu Dhabi.
